These Terms of Service govern your access to and use of Groxx.

Please read these Terms carefully. By creating a Groxx account, selecting a control indicating acceptance, accessing or using the Services, or purchasing a subscription, you agree to be bound by these Terms.

If you do not agree to these Terms, do not create an account, purchase a subscription, or use the Services.

1. About Groxx

In these Terms:
  • “Groxx,” “we,” “us,” and “our” mean Groxx App LLC;
  • “you” and “your” mean the individual using the Services and, where applicable, the organization on whose behalf that individual uses the Services;
  • “Services” means the Groxx mobile application, website, accounts, features, content, subscriptions, and related services.

2. What Groxx Is

Groxx is a business decision-support application designed to help entrepreneurs and business owners:
  • understand their business context;
  • identify possible priorities;
  • consider potential risks;
  • explore possible next steps;
  • receive personalized weekly recommendations;
  • ask business-related questions through AI-powered features.

Groxx does not operate your business, make final decisions on your behalf, execute recommendations, enter into transactions for you, or guarantee any business outcome.

You remain responsible for evaluating all information provided through the Services and deciding whether and how to act on it.

3. The Services

The Services may include:
  • Boss Mode onboarding;
  • structured and open-ended onboarding questions;
  • user-selected priority modes;
  • Groxx Brain;
  • This Week;
  • Red Flag;
  • Play functionality;
  • AI chat within This Week and Red Flag cards;
  • AI Crew;
  • Resource Crew;
  • Growth Crew;
  • Strategy Crew;
  • Ops Crew;
  • Marketing Crew;
  • AI-powered conversations;
  • file and image processing;
  • conversation history;
  • reminders and push notifications;
  • email communications;
  • complimentary access;
  • subscription-based functionality;
  • related mobile application and website features.

The design, availability, naming, arrangement, and operation of individual features may evolve over time.

4. Eligibility

You must be at least 18 years old to create an account, use the Services, or purchase a subscription.

By using the Services, you represent that:
  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms;
  • you are not prohibited from using the Services under applicable law;
  • the information you provide is accurate to the best of your knowledge;
  • if you use Groxx for a company or other organization, you are authorized to act on its behalf.

Groxx is not intended for children.

5. Account Registration and Authentication

You must create an account to use Groxx.

Authentication methods may include:
  • Sign in with Apple;
  • Google Sign-In;
  • passwordless email authentication;
  • a one-time email code or link.

Groxx does not require a traditional account password.

You are responsible for:
  • providing accurate registration information;
  • maintaining access to your email, Apple Account, or Google Account;
  • protecting your devices and authentication methods;
  • preventing unauthorized access to your account;
  • promptly notifying us of suspected unauthorized use.

You may not:
  • create an account for another person without authorization;
  • impersonate another person or organization;
  • provide fraudulent or misleading identity information;
  • access another person’s account;
  • circumvent authentication or security controls.

Contact [email protected] if you suspect that your account has been compromised.

6. Individual Account Use

Unless Groxx separately agrees otherwise in writing, an account is intended for use by one individual.

You may not:
  • sell, rent, sublicense, or transfer your account;
  • share account access among unrelated users;
  • allow another person to impersonate you;
  • use one subscription to provide unauthorized access to multiple persons;
  • use Groxx as an unauthorized public or commercial API;
  • resell access to AI-powered features.

You may use recommendations and outputs provided through your account for your own lawful personal or business purposes, subject to these Terms.

7. Boss Mode

Boss Mode is Groxx’s onboarding experience.
During Boss Mode, you may be asked to provide structured and open-ended information about matters such as:
  • your company;
  • business model;
  • products and services;
  • customers and market;
  • goals;
  • priorities;
  • resources;
  • team;
  • operations;
  • marketing;
  • growth;
  • financial ranges;
  • challenges;
  • potential risks;
  • other business circumstances.

Groxx relies substantially on the information you provide.

You are responsible for:
  • reviewing the accuracy of your answers;
  • providing information you are authorized to submit;
  • updating material information when appropriate;
  • deciding whether particular information is necessary to provide.

Groxx does not independently audit or verify all information submitted during Boss Mode.
Incomplete, inaccurate, outdated, misleading, or inconsistent information may reduce the accuracy or relevance of the Services.

8. Priority Modes

During Boss Mode, you may select a priority mode intended to help configure the direction and emphasis of your recommendations.

Current priority modes may include:
  • More Cash Mode;
  • Smooth Ops Mode;
  • Need You Less Mode;
  • Scale Up Mode;
  • Profit Mode;
  • Survival Mode.

A selected mode may influence the relative focus of recommendations generated through Groxx.
It does not guarantee that Groxx will:
  • increase your cash flow;
  • improve your operations;
  • reduce your involvement in the business;
  • scale your business;
  • increase your profit;
  • prevent financial difficulty;
  • prevent closure or failure;
  • produce any other particular result.

Priority-mode names are descriptive product labels only. They are not:
  • promises;
  • warranties;
  • professional conclusions;
  • financial forecasts;
  • diagnoses;
  • guarantees;
  • representations concerning the condition or future performance of your business.

Groxx may present recommendations outside your selected mode when another area appears relevant based on the information available.

9. Groxx Brain

Groxx Brain is Groxx’s proprietary internal decision-support system.

Groxx Brain applies Groxx-developed business frameworks, structured analytical methods, rules, algorithms, product logic, and know-how to information made available through the Services.

Groxx Brain may generate or prioritize the structured foundation for:
  • recommendations displayed in This Week;
  • potential risks displayed in Red Flag;
  • suggested actions for addressing or reducing potential risks;
  • the direction and emphasis of recommendations;
  • other business decision-support content.

Groxx Brain does not:
  • operate your business;
  • execute recommendations;
  • enter into transactions;
  • independently verify all user information;
  • make legally binding decisions;
  • make decisions intended to produce legal or similarly significant effects about you;
  • guarantee any result.

10. Protection of Groxx Brain and Confidential Know-How

Groxx Brain and its internal implementation are proprietary to Groxx.

Nothing in these Terms, the Services, or any explanation provided to you discloses or grants rights in Groxx’s:
  • source code;
  • internal prompts;
  • scoring logic;
  • weighting;
  • decision trees;
  • recommendation rules;
  • models;
  • methodologies;
  • taxonomies;
  • data structures;
  • system architecture;
  • evaluation methods;
  • internal documentation;
  • confidential business or technical know-how.

Groxx may provide general explanations of how a recommendation relates to your business context. Such explanations do not require Groxx to reveal trade secrets or confidential technical or commercial information.

11. This Week

This Week currently presents up to four personalized recommendations, suggested actions, priorities, or areas of focus for an applicable week.

The structured basis of This Week recommendations may be generated or prioritized through Groxx Brain using information available about your business.

Generative AI may then be used to:
  • tailor recommendations to the context of your company;
  • explain structured recommendations;
  • organize and format the content;
  • convert structured material into natural language;
  • expand the recommendation when you select Play.

“This Week” does not mean that:
  • every recommendation must be completed within seven days;
  • every recommendation is necessarily your only or highest priority;
  • the recommendations form a complete business plan;
  • completing a recommendation will produce a particular outcome;
  • all material business issues have been identified.

The number, order, content, and presentation of recommendations may change based on:
  • information you provide;
  • your selected priority mode;
  • changes to your business profile;
  • your interactions with the Services;
  • Groxx system logic;
  • product changes;
  • technical availability.

12. Red Flag

Red Flag identifies potential business risks, warning signals, or areas that may require attention.

It may also suggest possible ways to:
  • investigate a potential risk;
  • monitor it;
  • reduce it;
  • respond to it;
  • address its possible causes or consequences.

A Red Flag output is not:
  • a prediction that harm will occur;
  • a finding that a violation exists;
  • a complete risk assessment;
  • an audit;
  • an insurance assessment;
  • a cybersecurity assessment;
  • a legal or compliance opinion;
  • a financial or accounting opinion;
  • a guarantee that a suggested action will eliminate the risk.

Groxx may:
  • fail to identify an existing risk;
  • identify a risk that is not material;
  • underestimate or overestimate a risk;
  • reassess a risk differently when information changes.

The absence of a displayed Red Flag does not mean that no risk exists.

You remain responsible for independently assessing material risks and obtaining appropriate professional advice when necessary.

13. Play

A This Week or Red Flag card may include a Play control.

When you select Play, Groxx may use AI-powered processing to expand the relevant card into more detailed, context-aware guidance.

The expanded content may be based on:
  • the underlying Groxx Brain output;
  • the content of the relevant card;
  • information provided during Boss Mode;
  • your selected priority mode;
  • your business profile;
  • relevant prior interactions;
  • other context available through the Services.

Play-generated content may include:
  • explanations;
  • suggested steps;
  • examples;
  • questions to consider;
  • possible implementation approaches;
  • follow-up considerations.

Content generated through Play may be produced substantially through third-party generative AI.
It may:
  • contain errors;
  • rely on assumptions;
  • misunderstand your circumstances;
  • differ between requests or sessions;
  • omit relevant information;
  • be unsuitable for your business or jurisdiction.

Selecting Play does not cause Groxx to implement the recommendation, supervise its implementation, or accept responsibility for your decision to follow it.

14. Card-Level AI Chat

This Week and Red Flag cards may contain an AI-powered chat field.

The chat allows you to ask follow-up questions concerning the relevant card.

Responses may use:
  • the content of the card;
  • relevant business context;
  • your prompt;
  • relevant conversation history;
  • Groxx instructions and system context;
  • uploaded content where applicable.

Card-level responses may be generated substantially through third-party AI.

The presence of the chat within a Groxx Brain-supported card does not mean that every follow-up answer:
  • was independently generated by Groxx Brain;
  • was independently validated by Groxx Brain;
  • has been verified by Groxx;
  • has been reviewed by a human;
  • constitutes professional advice.

15. AI Crew

Groxx provides AI Crew, an AI-powered conversational feature that may include:
  • Resource Crew;
  • Growth Crew;
  • Strategy Crew;
  • Ops Crew;
  • Marketing Crew.

These names identify software assistants and their intended areas of focus.

AI Crew assistants are not:
  • human employees;
  • human consultants;
  • agents authorized to act for you;
  • attorneys;
  • accountants;
  • tax advisers;
  • financial advisers;
  • investment advisers;
  • licensed business consultants;
  • medical professionals;
  • other licensed professionals.

AI Crew assistants do not possess:
  • consciousness;
  • personal experience;
  • independent professional judgment;
  • fiduciary duties;
  • authority to enter into agreements;
  • authority to act on behalf of Groxx or the user.

AI Crew responses may be generated substantially through artificial intelligence using:
  • your prompt;
  • relevant conversation history;
  • available business context;
  • Groxx instructions;
  • uploaded content;
  • other relevant information made available through the Services.

The names assigned to AI Crew assistants do not guarantee expertise, specialization, licensing, accuracy, or suitability for a particular purpose.

16. Artificial Intelligence Transparency

Groxx uses a combination of proprietary decision-support technology and third-party generative AI.

These technologies may perform different functions.

In general:
  • Groxx Brain may generate or prioritize the structured foundation for This Week and Red Flag;
  • generative AI may tailor, explain, format, or expand that structured material;
  • Play and card-level chat may use generative AI to produce detailed responses;
  • AI Crew conversations may be generated substantially through generative AI.

The relative role of Groxx Brain and generative AI may vary by feature.

When you use AI Crew, Play, card-level AI chat, or another feature identified as AI-powered, you are interacting with automated software and not a human.

Conversational, confident, empathetic, or personalized language does not mean that the system has:
  • human understanding;
  • consciousness;
  • personal experience;
  • independent judgment;
  • professional responsibility;
  • verified the information it provides.

EU AI rules establish transparency requirements for certain AI systems designed to interact directly with natural persons, including making users aware that they are interacting with an AI system unless that fact is otherwise obvious.

17. Third-Party AI Services

Groxx uses third-party artificial intelligence services, including OpenAI API services.

Depending on the feature, relevant information may be transmitted for processing, including:
  • structured recommendations;
  • potential risk signals;
  • relevant business context;
  • prompts;
  • conversation context;
  • uploaded files or extracted content;
  • card information;
  • AI-generated outputs.

Groxx is designed to exclude direct account identifiers, such as your email address and internal account identifier, from standard AI requests where those identifiers are not required.

However, Groxx cannot prevent you from voluntarily including personal, identifying, sensitive, confidential, or third-party information in:
  • open-ended Boss Mode answers;
  • prompts;
  • chats;
  • uploaded files;
  • other free-form content.

Do not provide information you do not want processed through an AI service.

The handling of personal information is further described in the Groxx Privacy Policy.

18. No Training on Private User Content

Groxx does not use your private:
  • business profile;
  • Boss Mode answers;
  • This Week content;
  • Red Flag content;
  • prompts;
  • AI conversations;
  • uploaded files
to train generally available Groxx machine-learning models.

Groxx may use aggregated, statistical, technical, or de-identified information that no longer reasonably identifies you to:
  • measure performance;
  • understand product use;
  • improve reliability;
  • detect errors;
  • prevent abuse;
  • maintain and develop the Services.

Groxx may also use feedback that you intentionally submit, subject to the Privacy Policy.

19. AI and Automated Outputs May Be Wrong

AI-generated and automated outputs may be:
  • incorrect;
  • incomplete;
  • outdated;
  • misleading;
  • inconsistent;
  • unsuitable;
  • based on incorrect assumptions;
  • affected by missing context.

An output may:
  • contain factual errors;
  • misunderstand a prompt;
  • overlook material information;
  • misinterpret your business;
  • identify a risk that is not material;
  • fail to identify an important risk;
  • suggest an approach unsuitable for your jurisdiction;
  • express uncertain information with apparent confidence.

Groxx does not warrant that any recommendation, risk signal, response, forecast, explanation, suggested action, or generated output is accurate, complete, current, unique, or appropriate for your circumstances.

20. Responsibility for Information You Provide

Groxx relies substantially on the information you provide.

You are responsible for reviewing its accuracy and determining whether it is appropriate to submit.

Recommendations may be inaccurate or unsuitable if your information is:
  • incomplete;
  • incorrect;
  • outdated;
  • overly general;
  • internally inconsistent;
  • misleading;
  • missing important context.

Groxx does not independently audit or verify your business information.

21. No Professional Advice

The Services provide general business information and decision support.

Nothing provided through Groxx constitutes:
  • legal advice;
  • tax advice;
  • accounting advice;
  • investment advice;
  • financial advice;
  • securities advice;
  • medical advice;
  • psychological advice;
  • employment-law advice;
  • regulatory advice;
  • insurance advice;
  • a professional valuation;
  • a formal audit;
  • a professional opinion.

No attorney-client, accountant-client, fiduciary, consultancy, agency, professional-client, or similar relationship is created through use of the Services.

Consult an appropriately qualified professional before making a decision requiring professional judgment or materially affecting:
  • legal rights;
  • taxes;
  • accounting treatment;
  • employees;
  • customers;
  • regulatory obligations;
  • health or safety;
  • substantial financial commitments.

22. No Guarantee of Business Results

Groxx does not guarantee:
  • revenue;
  • increased cash flow;
  • profit;
  • profitability;
  • customer acquisition;
  • customer retention;
  • funding;
  • successful scaling;
  • operational improvement;
  • reduced owner involvement;
  • business survival;
  • risk elimination;
  • achievement of a goal;
  • any other commercial outcome.

Business results depend on factors outside Groxx’s control, including:
  • market conditions;
  • customer behavior;
  • competition;
  • execution;
  • implementation quality;
  • available resources;
  • economic conditions;
  • legal and regulatory requirements;
  • accuracy of user-provided information;
  • unforeseen events.

23. High-Impact Decisions

Do not use Groxx as the sole or primary basis for decisions involving:
  • substantial financial commitments;
  • borrowing or lending;
  • tax filings;
  • investment or securities transactions;
  • legal rights or claims;
  • regulatory compliance;
  • hiring or termination;
  • employee compensation or discipline;
  • credit, insurance, housing, or eligibility decisions about another person;
  • medical or safety matters;
  • emergency situations;
  • critical infrastructure;
  • decisions that could cause significant physical, financial, or legal harm.

Groxx is not designed to make automated decisions producing legal or similarly significant effects about individuals.

24. User Content

“User Content” means information and content you submit through the Services, including:
  • Boss Mode answers;
  • business information;
  • prompts;
  • messages;
  • notes;
  • files;
  • images;
  • documents;
  • conversation history;
  • feedback;
  • other material you provide.

As between you and Groxx, you retain your ownership rights in User Content.

You grant Groxx a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, format, analyze, and display User Content only as reasonably necessary to:
  • provide the Services;
  • maintain your account;
  • generate recommendations and responses;
  • personalize functionality;
  • process files;
  • maintain conversation history;
  • maintain security;
  • prevent fraud or abuse;
  • comply with law;
  • enforce these Terms.

This license ends when the relevant User Content is deleted from active systems, except to the extent limited retention is permitted under the Privacy Policy or applicable law.

You do not grant Groxx permission to publicly disclose your private business information or use it to train generally available Groxx machine-learning models.

25. Rights and Responsibility for User Content

You represent and warrant that:
  • you own the User Content or have the legal right to submit it;
  • Groxx’s authorized processing of it will not violate another person’s rights;
  • you have any required permission or lawful basis to provide personal information about another person;
  • the content does not violate applicable law or these Terms.

You remain responsible for User Content and the consequences of submitting it.

26. Third-Party Personal Information

Open fields, chats, and file uploads may allow you to submit information about:
  • employees;
  • customers;
  • contractors;
  • suppliers;
  • business partners;
  • other individuals.

You must not provide another person’s personal information unless:
  • you are authorized to provide it;
  • you have an appropriate lawful basis;
  • you have provided any required notice;
  • you have obtained any required consent;
  • the information is reasonably necessary.

You are responsible for complying with privacy and data-protection laws applicable to personal information that you control and submit through Groxx.

27. Sensitive and Confidential Information

Do not submit:
  • passwords;
  • one-time authentication codes;
  • private cryptographic keys;
  • complete payment-card information;
  • bank-account credentials;
  • government identification numbers;
  • health or medical records;
  • biometric information;
  • information about children;
  • highly sensitive personal information;
  • confidential third-party information you are not authorized to disclose;
  • content whose disclosure would violate a law, agreement, or professional duty.

Groxx is not designed as:
  • a secure data room;
  • a password manager;
  • a medical-record system;
  • a regulated records repository;
  • a legal-document archive;
  • a banking system.

No online or AI service can be guaranteed to be completely secure.

28. Uploaded Files

Groxx may allow you to upload documents, images, spreadsheets, presentations, or other files.

File processing may involve:
  • text extraction;
  • analysis;
  • summarization;
  • classification;
  • use of information from the file to generate a response;
  • temporary processing by infrastructure or AI providers.

File-processing technology may:
  • fail to read content;
  • omit content;
  • misinterpret tables;
  • misinterpret formatting;
  • confuse document structure;
  • produce an inaccurate summary;
  • fail to detect altered or fraudulent information.

Review the original file and independently verify important information.

29. Generated Output

Subject to applicable law and these Terms, Groxx does not claim ownership of a specific generated output solely because it was generated for your account.

You may use generated output for lawful personal or business purposes.

However:
  • output may not qualify for copyright or other legal protection;
  • similar or identical output may be generated for others;
  • output may resemble existing material;
  • Groxx does not guarantee uniqueness;
  • Groxx does not guarantee originality;
  • Groxx does not provide intellectual-property clearance;
  • Groxx does not guarantee non-infringement.

You are responsible for reviewing generated content before publishing, distributing, registering, or commercially using it.

Groxx retains all rights in its underlying software, systems, methods, templates, design, structure, interfaces, branding, and proprietary materials.

30. Product and Feature Names

Product and interface names—including:
  • Boss Mode;
  • More Cash Mode;
  • Smooth Ops Mode;
  • Need You Less Mode;
  • Scale Up Mode;
  • Profit Mode;
  • Survival Mode;
  • Groxx Brain;
  • This Week;
  • Red Flag;
  • Play;
  • AI Crew;
  • Resource Crew;
  • Growth Crew;
  • Strategy Crew;
  • Ops Crew;
  • Marketing Crew
are used for navigation, categorization, branding, and product experience.

Unless expressly stated otherwise, these names do not constitute:
  • promises;
  • guarantees;
  • professional conclusions;
  • financial projections;
  • diagnoses;
  • warranties;
  • representations that a specific result will occur.

31. Complimentary Access

Groxx may provide new users with temporary complimentary access to some or all functionality.

Complimentary access:
  • does not require a purchase;
  • is not an Apple introductory free trial;
  • does not automatically convert into a paid subscription;
  • does not result in a charge unless you affirmatively purchase;
  • may be limited by time, feature, AI usage, or technical availability.

Complimentary access may currently include approximately one week of broader functionality.

Access to AI functionality may become limited earlier if the applicable usage allowance is reached.

At the end of complimentary access, functionality may become restricted unless you purchase a subscription.

32. Paid Subscription

Groxx currently offers one paid plan:
Groxx Annual Subscription
The subscription period is one year.
The intended United States price is currently USD $360 per year.

The actual price charged is the price displayed by Apple immediately before you confirm the purchase. It may vary because of:
  • country or region;
  • local currency;
  • taxes;
  • Apple regional pricing;
  • permitted price changes;
  • other factors administered by Apple.

Your subscription purchase is not completed until confirmed by Apple.

Detailed billing terms are contained in the Groxx Subscription Terms, which form part of these Terms.

33. Automatic Renewal and Cancellation

The Groxx Annual Subscription is auto-renewable.
Unless canceled, it automatically renews for additional one-year periods.

You may manage or cancel the subscription through your Apple Account subscription settings.
Canceling automatic renewal generally allows paid access to continue until the end of the already-paid period, unless Apple or applicable law provides otherwise.

Deleting the application does not cancel the subscription.

Deleting your Groxx account may not automatically cancel an active subscription. Apple specifically advises apps with account deletion to notify users that subscription billing may continue and that the subscription should be canceled separately.

34. Payments and Refunds

All in-app subscription transactions are processed through Apple.

Groxx does not receive or store:
  • your complete payment-card information;
  • your bank credentials;
  • your Apple Account password.

Refund requests and refund eligibility are administered by Apple under its procedures and applicable law.

Groxx generally cannot independently reverse or issue a refund for a transaction processed by Apple.

Nothing in these Terms limits a refund, withdrawal, conformity, cancellation, or other consumer right that cannot legally be excluded.

35. AI Usage Limits

Access to AI-powered features is subject to reasonable technical and usage limits.
Limits may be based on:
  • tokens;
  • request volume;
  • processing volume;
  • processing time;
  • model usage;
  • context length;
  • file size;
  • system capacity;
  • service cost;
  • fair access;
  • security;
  • abuse prevention;
  • subscription status.

Groxx may adjust usage limits where reasonably necessary to maintain:
  • service quality;
  • availability;
  • technical stability;
  • security;
  • sustainable operation;
  • fair access.

Where reasonably practicable, Groxx will provide an in-app notice when you are approaching a material AI usage limit.

36. Reaching an AI Usage Limit

If an applicable AI usage limit is reached:
  • AI Crew may become temporarily unavailable;
  • Play may become temporarily unavailable;
  • card-level AI chat may become unavailable;
  • existing conversations may become read-only;
  • file processing may be restricted;
  • access may resume when the applicable allowance resets;
  • other non-AI functionality may remain available.

Reaching an AI usage limit does not itself cancel or terminate your subscription.

Groxx will not describe an AI feature as unlimited where a material limit applies.

37. Acceptable Use

You may use the Services only for lawful purposes.
You may not use Groxx to:
  • violate a law or regulation;
  • infringe intellectual-property, privacy, publicity, or contractual rights;
  • harass, threaten, defame, exploit, or harm another person;
  • commit or facilitate fraud;
  • impersonate another person or organization;
  • submit personal information without lawful authority;
  • generate or distribute malicious software;
  • compromise accounts or computer systems;
  • conduct phishing or credential theft;
  • send spam;
  • conduct unauthorized surveillance;
  • circumvent safety, subscription, authentication, or usage controls;
  • interfere with or disrupt the Services;
  • scrape or extract data through unauthorized automated means;
  • reverse engineer the Services except where such restriction is prohibited by law;
  • resell, sublicense, or commercially redistribute access;
  • represent that an AI output was reviewed or approved by a human professional when it was not;
  • make fully automated high-impact decisions about another person without lawful authority and appropriate safeguards;
  • create unreasonable legal, security, operational, or reputational risk for Groxx or other users.

38. Prohibited Technical Use

You may not:
  • probe or test vulnerabilities without written authorization;
  • bypass access restrictions;
  • extract or attempt to reconstruct Groxx Brain;
  • systematically collect recommendations to reproduce Groxx methodologies;
  • copy internal workflows or recommendation structures for an unauthorized competing service;
  • use automated systems to generate excessive requests;
  • use multiple accounts to evade usage limits;
  • attempt to discover confidential prompts or system instructions;
  • interfere with AI safeguards;
  • introduce harmful code or files.

Nothing in this section restricts activity expressly permitted by mandatory law.

39. Moderation, Safety, and Enforcement

Groxx and its providers may use automated or manual measures to detect:
  • prohibited activity;
  • fraud;
  • abuse;
  • security threats;
  • attempted circumvention;
  • material violations of these Terms.

Groxx may:
  • refuse a request;
  • restrict content;
  • limit a feature;
  • suspend access;
  • terminate an account;
  • preserve information where required for an investigation.

We may take such action where reasonably necessary to:
  • enforce these Terms;
  • protect security;
  • prevent harm;
  • comply with law;
  • respond to a lawful request;
  • protect Groxx, users, or third parties.

Where required by law, we will provide an appropriate explanation or opportunity to challenge the decision.

40. Ownership of the Services

Groxx and its licensors own all rights in and to the Services, including:
  • Groxx Brain;
  • software;
  • source code;
  • interfaces;
  • design;
  • visual elements;
  • branding;
  • text;
  • workflows;
  • recommendation structure;
  • internal methodology;
  • systems;
  • databases;
  • documentation;
  • intellectual property.

Subject to these Terms, Groxx grants you a limited, revocable, personal, non-exclusive, non-transferable, and non-sublicensable license to use the Services for their intended purpose during the period in which you are authorized to access them.

These Terms do not transfer ownership of Groxx intellectual property to you.

41. Feedback

You may voluntarily provide feedback, suggestions, ideas, or comments.

You grant Groxx a perpetual, worldwide, non-exclusive, royalty-free right to use feedback to develop, maintain, and improve the Services.

Groxx will not publicly identify you or disclose your private business information in connection with feedback without permission.

You are not required to provide feedback.

42. Third-Party Services

The Services may rely on or interact with third-party providers, including:
  • Apple;
  • Google;
  • Supabase;
  • OpenAI;
  • Google Analytics;
  • internet, cloud, and email infrastructure providers.

Third-party services may be governed by their own terms and privacy practices.

Groxx is not responsible for third-party services acting independently of Groxx, including:
  • Apple Account availability;
  • Google Account availability;
  • App Store payment systems;
  • external websites;
  • third-party outages;
  • independent third-party decisions.

This does not remove obligations Groxx has under applicable law concerning providers acting on its behalf.

43. Availability of the Services

Groxx aims to provide a reliable service but does not guarantee uninterrupted or error-free operation.

The Services may be unavailable because of:
  • maintenance;
  • updates;
  • technical failures;
  • cloud-provider outages;
  • AI-provider outages;
  • network failures;
  • excessive demand;
  • security incidents;
  • App Store or platform actions;
  • legal restrictions;
  • circumstances beyond Groxx’s reasonable control.

Groxx may temporarily modify, restrict, or suspend functionality to protect security, integrity, or availability.

Mandatory consumer rights concerning digital-service conformity remain unaffected.

44. Updates and Changes to Features

Groxx may:
  • release updates;
  • add features;
  • modify workflows;
  • change interfaces;
  • change recommendation formats;
  • change AI models or providers;
  • modify Groxx Brain;
  • replace or retire features;
  • alter technical limits;
  • improve security controls.

Some updates may be necessary to:
  • maintain compatibility;
  • protect security;
  • comply with law;
  • continue providing the Services.

Groxx will not rely on this section to avoid mandatory obligations concerning paid digital-service conformity.

45. Beta and Experimental Features

Some features may be identified as beta, preview, experimental, or early access.

Such features may:
  • be incomplete;
  • contain errors;
  • change;
  • produce unreliable results;
  • have limited availability;
  • be discontinued.

Additional terms or notices may apply.
Mandatory consumer rights remain unaffected.

46. Account Suspension and Termination

You may stop using Groxx at any time. Groxx may suspend or terminate access where reasonably necessary because:
  • you materially or repeatedly violate these Terms;
  • your subscription entitlement is invalid, refunded, revoked, or expired;
  • your use creates a security risk;
  • your use is fraudulent or unlawful;
  • suspension is required by law;
  • continued provision has become legally or technically impracticable;
  • the Services are discontinued.

Where reasonable and legally required, Groxx will provide notice and an opportunity to correct or challenge the issue.

Termination does not eliminate provisions that should reasonably survive, including those concerning:
  • ownership;
  • intellectual property;
  • payments already due;
  • disclaimers;
  • liability;
  • disputes;
  • legal compliance.

47. Account and Data Deletion

You may initiate deletion of your Groxx account from within the mobile application.

You may also contact [email protected] for assistance.

Account deletion is governed by the Groxx Privacy Policy and Data Deletion page.

Account deletion and subscription cancellation are separate actions.

Deleting your account may not automatically cancel your Apple subscription. Before deleting the account, cancel the subscription separately through your Apple Account if you do not want it to renew.

48. Privacy

The Groxx Privacy Policy explains how we collect, use, store, disclose, and delete personal information.

By using the Services, you acknowledge that personal information will be handled as described in the Privacy Policy.

Nothing in these Terms waives privacy or data-protection rights that cannot lawfully be waived.

49. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Groxx disclaims implied and statutory warranties to the extent they may lawfully be disclaimed, including warranties of:
  • merchantability;
  • fitness for a particular purpose;
  • accuracy;
  • non-infringement;
  • uninterrupted availability;
  • error-free operation;
  • business success.

Groxx does not warrant that:
  • every recommendation will be correct;
  • every risk will be identified;
  • every output will be unique;
  • every feature will always be available;
  • all errors will be corrected;
  • use of Groxx will produce financial or commercial results.

This section does not exclude or restrict warranties, conformity duties, consumer remedies, or rights that cannot legally be excluded.

50. Limitation of Liability

To the maximum extent permitted by applicable law, Groxx App LLC and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of:
  • profit;
  • revenue;
  • business opportunity;
  • goodwill;
  • expected savings;
  • contracts;
  • business data;
  • business continuity.

To the maximum extent permitted by applicable law, Groxx’s total aggregate liability arising out of or relating to the Services will not exceed the greater of:
  1. the amount you paid to Groxx for the Services during the 12 months immediately preceding the event giving rise to the claim; or
  2. USD $100.

These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.

Nothing in these Terms limits or excludes liability where limitation or exclusion is prohibited by law, including, where applicable, liability for:
  • fraud;
  • fraudulent misrepresentation;
  • intentional misconduct;
  • gross negligence;
  • death or personal injury caused by negligence;
  • violation of mandatory consumer rights;
  • other liability that cannot legally be limited.

Some jurisdictions do not permit particular exclusions or limitations. In such jurisdictions, the relevant provision applies only to the maximum extent permitted by law.

51. Responsibility for Misuse

To the extent permitted by applicable law, you are responsible for losses, claims, or liabilities arising directly from:
  • your unlawful use of the Services;
  • your material breach of these Terms;
  • User Content you had no right to provide;
  • your infringement of another person’s rights;
  • your intentional misuse or circumvention of the Services.

This provision does not require an individual consumer to compensate Groxx for losses caused by Groxx’s own unlawful conduct, breach, negligence, or failure to comply with mandatory law.

52. Governing Law

These Terms are governed by the laws of the country of Georgia, without regard to conflict-of-laws principles.

The reference to Georgia means the sovereign country of Georgia and not the U.S. state of Georgia.

If you are acting as a consumer, this choice of law does not deprive you of mandatory protections available under the law of your country of habitual residence.

53. Informal Dispute Resolution

Before filing a formal claim, you and Groxx agree to make a reasonable effort to resolve the dispute informally.

The notice should include:
  • your name;
  • the email associated with your account;
  • a description of the issue;
  • relevant supporting information;
  • the resolution you are requesting.

Groxx will attempt to respond within a reasonable period.

This informal process does not prevent either party from seeking urgent relief or exercising a right that cannot lawfully be restricted.

54. Jurisdiction

Subject to mandatory consumer law, courts located in Tbilisi, country of Georgia, will have jurisdiction over disputes arising from these Terms or the Services.

If applicable consumer law permits you to bring proceedings in the courts of your country or place of residence, nothing in these Terms removes that right.

These Terms do not require mandatory private arbitration and do not include a class-action waiver.

55. Consumer Rights

Nothing in these Terms limits rights that cannot legally be waived.

Depending on your jurisdiction, mandatory rights may relate to:
  • pre-contract information;
  • transparent pricing;
  • digital-service conformity;
  • restoration of conformity;
  • price reduction;
  • cancellation or termination;
  • refunds;
  • withdrawal;
  • unfair contractual terms;
  • privacy;
  • access to courts or regulators.

Where these Terms conflict with mandatory consumer law, mandatory law controls to the extent of the conflict.

56. European Consumers

If you are a consumer in the European Economic Area, United Kingdom, Switzerland, or another jurisdiction providing mandatory digital-service protections:
  • Groxx remains responsible for obligations imposed by applicable digital-service law;
  • warranty disclaimers do not eliminate mandatory conformity duties;
  • liability limitations do not eliminate non-waivable remedies;
  • material modifications will be handled in accordance with applicable law;
  • you may have rights if the service materially fails to conform to the contract;
  • you retain applicable rights concerning cancellation, withdrawal, refund, price reduction, or termination.

Directive (EU) 2019/770 establishes harmonized rules concerning conformity and remedies for digital content and digital services.

57. Sanctions and Export Compliance

You may not access, use, export, re-export, or provide the Services in violation of applicable:
  • sanctions;
  • export controls;
  • trade restrictions;
  • restricted-party rules.

You represent that you are not prohibited from receiving the Services under laws applicable to you or Groxx.

Availability in a particular country does not mean every use is lawful or appropriate in that country.

58. Force Majeure

Groxx will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:
  • natural disasters;
  • war;
  • civil unrest;
  • labor disruption;
  • government action;
  • widespread internet failure;
  • cloud-provider outage;
  • cyberattack;
  • epidemic;
  • power failure;
  • failure of critical third-party infrastructure.

This section does not exclude obligations that cannot legally be excluded.

59. Changes to These Terms

Groxx may update these Terms to reflect:
  • changes to the Services;
  • new or modified features;
  • changes to providers;
  • changes in law;
  • security requirements;
  • technical or operational developments.

The updated Terms will be posted at groxx.app/terms-of-service, and the “Last Updated” date will be revised.

If a change materially affects your rights or obligations, Groxx will provide reasonable notice where required, which may occur through:
  • the application;
  • email;
  • the website;
  • another appropriate method.

Where legally required, Groxx will request renewed acceptance.

Changes will not retroactively create charges that you did not authorize.

60. Assignment

You may not assign or transfer your account or these Terms without Groxx’s written consent.
Groxx may assign these Terms in connection with:
  • a merger;
  • acquisition;
  • financing;
  • corporate reorganization;
  • transfer to an affiliate;
  • sale of all or substantially all relevant assets.

An assignment affecting consumers remains subject to applicable law and may not remove mandatory consumer rights.

61. No Agency, Employment, or Partnership

These Terms do not create a:
  • partnership;
  • joint venture;
  • employment relationship;
  • franchise;
  • fiduciary relationship;
  • agency relationship.

Neither party has authority to bind the other except where expressly agreed in writing.

62. Severability

If a provision of these Terms is found unlawful or unenforceable, it will be modified only to the minimum extent necessary to make it enforceable.

If modification is not possible, it will be treated as severed.

The remaining provisions will continue in effect.

63. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

A waiver is effective only if made in writing by an authorized representative of Groxx.

64. Entire Agreement

These Terms, together with the following documents, form the agreement between you and Groxx concerning the Services:
  • Privacy Policy;
  • Subscription Terms;
  • AI Disclaimer;
  • Cookie Notice;
  • Data Deletion information;
  • any feature-specific terms or notices presented to you.

If feature-specific terms conflict with these Terms, the feature-specific terms control only for the relevant feature and to the extent of the conflict.

The Privacy Policy controls concerning the processing of personal information.

The Subscription Terms control concerning subscription billing, renewal, cancellation, and paid access.

65. Apple App Store Terms

The following provisions apply when you obtain or use Groxx through the Apple App Store.

65.1 Parties

These Terms are between you and Groxx App LLC, not Apple Inc.

Groxx, not Apple, is responsible for the application and its content, subject to applicable law.

65.2 Scope of license

Your license is limited to a non-transferable license to use Groxx on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and applicable Usage Rules.
Groxx does not currently offer Family Sharing unless the Apple purchase interface expressly states otherwise.

65.3 Maintenance and support

Groxx App LLC is responsible for maintenance and support of the application as required by these Terms and applicable law.

Apple has no obligation to provide maintenance or support for Groxx.

65.4 Warranties

To the extent any applicable warranty cannot be effectively disclaimed and Groxx fails to satisfy that warranty, you may notify Apple.

Where required under Apple’s applicable terms, Apple may refund the purchase price paid for the application, if any.

To the maximum extent permitted by applicable law, Apple has no other warranty obligation concerning Groxx.

Groxx remains responsible for other claims, losses, liabilities, damages, costs, or expenses attributable to failure to conform to an applicable warranty, subject to these Terms and mandatory law.

65.5 Product claims

Groxx App LLC, not Apple, is responsible for addressing claims relating to the application or your possession or use of it, including:
  • product-liability claims;
  • claims that the application fails to comply with applicable legal or regulatory requirements;
  • claims arising under consumer-protection, privacy, or similar law.

65.6 Intellectual-property claims

If a third party claims that the application or your authorized use of it infringes intellectual-property rights, Groxx App LLC, not Apple, is responsible for investigation, defense, settlement, and discharge of the claim to the extent required by applicable law.

65.7 Legal compliance

You represent that:
  • you are not located in a country subject to an applicable comprehensive embargo that legally prohibits provision of the Services to you;
  • you are not listed on an applicable government list of prohibited or restricted parties.

65.10 Apple as third-party beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the Apple-distributed application.

Upon your acceptance of these Terms, Apple has the right to enforce the relevant provisions against you as a third-party beneficiary.

These provisions reflect Apple’s published minimum requirements for a developer’s custom end-user license agreement.
