2. What Groxx Provides
Groxx is a business decision-support application designed to help entrepreneurs and business owners:
- understand their business context;
- identify possible priorities;
- recognize potential risks;
- consider possible next steps;
- receive personalized weekly recommendations;
- explore business questions;
- organize and evaluate business decisions.
Groxx provides recommendations, risk signals, explanations, and informational decision-support content.
Groxx does not:

- make final decisions for you;
- enter into transactions on your behalf;
- monitor every consequence of your decisions;
- guarantee any particular business outcome.
You remain responsible for evaluating all information provided through Groxx and deciding whether and how to act on it.
3. How Groxx Uses Different Technologies
Groxx uses a combination of:
- Groxx Brain, Groxx’s proprietary internal decision-support system; and
- third-party generative artificial intelligence, including OpenAI API services.
These technologies may perform different functions.
In general:
- Groxx Brain may generate, structure, or prioritize the foundation for business recommendations and potential risk signals;
- generative AI may tailor, explain, format, expand, or communicate that material using relevant company context;
- Play and card-level chat may use generative AI to produce more detailed responses;
- AI Crew conversations may be generated substantially through generative AI.
The relative role of Groxx Brain and generative AI may vary by feature, request, product version, and technical configuration.
4. Groxx Brain
Groxx Brain is Groxx’s proprietary internal decision-support system.
It applies Groxx-developed:
- business frameworks;
- structured analytical methods;
- product logic;
- decision rules;
- algorithms;
- internal methodologies;
- business knowledge;
- accumulated experience;
- commercial and technical know-how.
Groxx Brain may use information made available through the Services to:
- identify possible areas requiring attention;
- structure business priorities;
- generate or prioritize weekly recommendations;
- identify potential business risks or warning signals;
- suggest possible actions for addressing or reducing risks;
- adapt the direction and emphasis of recommendations;
- connect recommendations to the business context provided by the user.
Groxx Brain is not a human consultant and does not independently verify all user-submitted information.
5. Protection of Groxx Brain and Proprietary Know-How
Groxx Brain and its internal implementation are proprietary to Groxx.
Nothing in this AI Disclaimer, the Services, an output, or an explanation provided to a user discloses or grants rights in Groxx’s:
- source code;
- internal prompts;
- scoring systems;
- weighting;
- decision trees;
- recommendation logic;
- rules;
- models;
- methodologies;
- taxonomies;
- evaluation methods;
- system architecture;
- internal documentation;
- confidential commercial or technical know-how.
Groxx may provide general explanations concerning a recommendation or risk signal without disclosing confidential implementation details, trade secrets, or proprietary methods.
6. Boss Mode
Boss Mode is Groxx’s onboarding experience.
During Boss Mode, users may answer:
- structured or multiple-choice questions;
- open-ended questions;
- questions concerning their company, goals, priorities, operations, resources, marketing, challenges, risks, and other business circumstances.
Groxx Brain and AI-powered features may use information provided during Boss Mode to personalize the Services.
The usefulness and relevance of Groxx outputs depend substantially on the completeness, accuracy, and current relevance of the information provided.
Groxx does not independently audit or verify every Boss Mode answer.
7. Priority Modes
During Boss Mode, a user may select a priority mode intended to influence the focus and direction of recommendations.
Current modes may include:
- More Cash Mode;
- Smooth Ops Mode;
- Need You Less Mode;
- Scale Up Mode;
- Profit Mode;
- Survival Mode.
Priority-mode names are descriptive product labels used for navigation and personalization.
They are not:
- promises;
- guarantees;
- diagnoses;
- financial forecasts;
- professional conclusions;
- representations concerning the condition of a business;
- warranties that a particular result will occur.
For example:
- More Cash Mode does not guarantee increased cash flow;
- Smooth Ops Mode does not guarantee improved operations;
- Need You Less Mode does not guarantee reduced owner involvement;
- Scale Up Mode does not guarantee successful scaling;
- Profit Mode does not guarantee profitability;
- Survival Mode does not mean that Groxx has determined that the business will fail or that Groxx can prevent failure.
Groxx may present recommendations outside the selected mode where another issue appears relevant based on the information available.
8. This Week
This Week currently presents up to four personalized recommendations, suggested actions, priorities, or areas of focus for an applicable week.
The structured basis of a This Week recommendation may be generated or prioritized through Groxx Brain.
Generative AI may then be used to:
- tailor the recommendation to the context of the user’s company;
- convert structured material into natural language;
- explain the recommendation;
- organize and format the content;
- expand the recommendation when the user selects Play.
“This Week” does not mean that:
- every recommendation must be completed within seven days;
- every recommendation is necessarily the only or highest business priority;
- the recommendations form a complete business plan;
- implementing a recommendation will produce a particular result;
- every material issue affecting the business has been identified.
The number, order, presentation, and content of recommendations may change over time.
9. Red Flag
Red Flag identifies potential business risks, warning signals, or areas that may require attention.
Red Flag may also suggest possible actions for:
- investigating a potential risk;
- monitoring it;
- reducing it;
- responding to it;
- addressing its possible causes or consequences.
A Red Flag output is not:
- a prediction that harm will occur;
- confirmation that a legal or regulatory violation exists;
- a complete risk assessment;
- a formal audit;
- an insurance assessment;
- a cybersecurity assessment;
- a legal opinion;
- a tax opinion;
- a financial or accounting opinion;
- a guarantee that a suggested action will eliminate the risk.
Groxx may:
- fail to identify an existing risk;
- identify a risk that is not material;
- underestimate or overestimate a risk;
- classify a risk differently when new information becomes available;
- omit risks outside the information or context available to the system.
The absence of a displayed Red Flag does not mean that no risk exists.
10. Play
A This Week or Red Flag card may include a
Play control.
When a user selects Play, Groxx may use AI-powered processing to expand the card into more detailed and context-aware guidance.
The expanded content may use:
- the underlying Groxx Brain output;
- the content of the card;
- Boss Mode information;
- the selected priority mode;
- relevant business-profile information;
- previous interactions;
- other context available through the Services.
Play-generated content may include:
- explanations;
- suggested steps;
- examples;
- implementation ideas;
- questions to consider;
- follow-up considerations.
Play-generated content may be produced substantially through third-party generative AI.
It may:
- contain errors;
- rely on assumptions;
- misunderstand the user’s circumstances;
- omit relevant information;
- differ between requests or sessions;
- be unsuitable for a particular business, industry, or jurisdiction.
Selecting Play does not cause Groxx to:
- implement the recommendation;
- supervise implementation;
- monitor execution;
- verify that the recommendation has been followed;
- accept responsibility for the user’s decision to act.
11. Card-Level AI Chat
This Week and Red Flag cards may include an AI-powered chat field.
The chat allows users to ask follow-up questions concerning the relevant recommendation or potential risk.
A response may use:
- the content of the relevant card;
- the user’s prompt;
- relevant business context;
- relevant conversation history;
- Groxx instructions and system context;
- uploaded content where applicable.
Card-level responses may be generated substantially through third-party generative AI.
The fact that a chat appears within a Groxx Brain-supported card does not mean that every response:
- was independently generated by Groxx Brain;
- was independently validated by Groxx Brain;
- has been reviewed by a Groxx employee;
- has been reviewed by a human consultant;
- has been approved by a licensed professional;
- constitutes professional advice.
12. AI Crew
Groxx provides
AI Crew, an AI-powered conversational feature that may include:
- Resource Crew;
- Growth Crew;
- Strategy Crew;
- Ops Crew;
- Marketing Crew.
These names identify software assistants and their intended areas of focus.
AI Crew assistants are not:
- human employees;
- human consultants;
- agents authorized to act on behalf of the user;
- agents authorized to bind Groxx;
- attorneys;
- accountants;
- tax advisers;
- financial advisers;
- investment advisers;
- licensed business consultants;
- medical professionals;
- other licensed professionals.
AI Crew assistants do not possess:
- consciousness;
- personal experience;
- independent professional judgment;
- fiduciary duties;
- personal beliefs;
- legal authority;
- authority to enter into an agreement;
- authority to act on behalf of Groxx or the user.
The names assigned to AI Crew assistants do not guarantee:
- expertise;
- licensing;
- specialization;
- accuracy;
- completeness;
- suitability for a particular purpose.
13. You Are Interacting With AI
When you use AI Crew, Play, card-level AI chat, or another feature identified as AI-powered, you are interacting with automated software rather than a human.
AI-generated content may appear:
- conversational;
- confident;
- empathetic;
- personalized;
- authoritative.
These characteristics do not mean that the system:
- is a person;
- understands your company in the same manner as a human adviser;
- has personal experience;
- has consciousness;
- has independently verified the response;
- accepts professional responsibility;
- has considered all relevant facts.
You should evaluate an AI response based on its substance and supporting information, not on the confidence, style, or tone in which it is presented.
14. Third-Party Generative AI
Groxx currently uses third-party generative AI services, including OpenAI API services, to support certain functionality.
Depending on the feature, information processed by a third-party AI provider may include:
- structured recommendations;
- potential risk signals;
- relevant business context;
- user prompts;
- conversation context;
- uploaded files or extracted content;
- card content;
- system instructions;
- generated outputs.
Groxx is designed to exclude direct account identifiers, such as a user’s email address and internal account identifier, from standard third-party AI requests where those identifiers are not required.
However, users may voluntarily include identifying, personal, confidential, sensitive, or third-party information in:
- open-ended Boss Mode answers;
- prompts;
- chat messages;
- uploaded files;
- other free-form content.
Such information may be processed by the applicable third-party AI provider where necessary to provide the requested functionality.
Further information is available in the Groxx Privacy Policy.
15. OpenAI Data Practices
Groxx has disabled voluntary sharing of OpenAI API inputs and outputs for model improvement.
OpenAI states that data submitted through its API and other business offerings is not used to train its models by default unless the customer affirmatively opts in.
Under OpenAI’s standard API controls, abuse-monitoring logs may contain prompts, responses, and related metadata and may be retained for up to 30 days, unless longer retention is legally required or reasonably necessary for security.
Groxx has disabled API call logging in its OpenAI organization settings.
This setting does not necessarily eliminate all temporary provider-side retention for security or abuse monitoring.
16. Explicit Permission for Third-Party AI Processing
Before personal information or business context is transmitted to a third-party AI provider, Groxx may present a disclosure and request permission as required by applicable platform rules or law.
The disclosure may explain:
- that an AI-powered feature uses a third-party AI service;
- the identity of the relevant provider;
- the categories of information that may be transmitted;
- the purpose of the processing;
- where additional privacy information can be found.
A user who does not provide required permission may be unable to access certain functionality, including:
- Play;
- card-level AI chat;
- AI Crew;
- AI-powered file processing;
- other features dependent on third-party AI.
Where required permission is withdrawn, Groxx may stop future third-party AI processing associated with the applicable feature.
Withdrawal does not affect processing that was lawfully completed before withdrawal.
17. AI and Automated Outputs May Be Wrong
Artificial intelligence and automated decision-support systems may produce content that is:
- inaccurate;
- incomplete;
- outdated;
- misleading;
- inconsistent;
- unsuitable;
- based on incorrect assumptions;
- affected by missing context.
An output may:
- contain factual errors;
- misunderstand a prompt;
- misunderstand the business;
- overlook important information;
- fail to identify a material risk;
- identify a risk that is not material;
- recommend an unsuitable action;
- provide information inappropriate for a particular jurisdiction;
- present uncertain information with apparent confidence.
Groxx does not guarantee that any recommendation, response, risk signal, forecast, explanation, suggested action, or generated output is:
- correct;
- complete;
- current;
- unique;
- lawful for every jurisdiction;
- appropriate for the user’s circumstances.
18. Quality Depends on User-Provided Information
Groxx outputs depend substantially on information provided by the user.
Outputs may be less useful, inaccurate, or unsuitable where the information is:
- incomplete;
- incorrect;
- outdated;
- overly general;
- misleading;
- internally inconsistent;
- missing relevant context.
Groxx does not independently audit or verify all user-provided business information.
Users are responsible for reviewing and updating relevant information where appropriate.
19. Recommendations, Not Decisions
Groxx provides:
- recommendations;
- suggested actions;
- possible priorities;
- potential risk signals;
- explanations;
- implementation ideas;
- general decision-support information.
These outputs are not:
- binding instructions;
- decisions made on behalf of the user;
- commitments by Groxx;
- professional opinions;
- guarantees of success;
- predictions that a particular result will occur.
The user retains control over whether and how to act.
Before acting, the user should consider:
- whether the information provided to Groxx was accurate and complete;
- whether circumstances have changed;
- possible financial and operational consequences;
- applicable legal and contractual obligations;
- whether independent professional advice is appropriate.
20. No Professional Advice
Groxx provides general business information and decision support.
Neither Groxx Brain nor any AI-powered feature provides:

- tax advice;
- accounting advice;
- investment advice;
- securities advice;
- financial advice;
- medical advice;
- psychological advice;
- employment-law advice;
- regulatory advice;
- insurance advice;
- a professional valuation;
- a formal audit;
- a licensed professional opinion.
No attorney-client, accountant-client, fiduciary, consultancy, professional-client, agency, or similar relationship is created through use of Groxx.
Users should consult an appropriately qualified professional before making decisions that materially affect:
- legal rights;
- taxes;
- accounting treatment;
- regulatory obligations;
- employees;
- customers;
- financing;
- investments;

- customer retention;
- business growth;
- successful scaling;
- reduced owner involvement;
- operational improvement;

- available resources;
- economic conditions;
- legal and regulatory requirements;
- the accuracy of information provided;

Past business experience, frameworks, system-generated patterns, or recommendations do not guarantee future performance.
23. No Complete Risk Monitoring
Groxx is not a continuous or comprehensive risk-monitoring service.

- monitor cybersecurity infrastructure;
- detect every operational issue;
- detect every fraud or compliance risk;

24. Human Review
Groxx does not routinely provide human review of:
- This Week recommendations;
- Red Flag outputs;
- Play-generated content;
- card-level AI conversations;
- AI Crew conversations.
Unless Groxx expressly confirms otherwise in writing:
- no human consultant has reviewed an output;
- no licensed professional has approved it;
- no Groxx employee has verified its accuracy;
- no professional opinion has been issued.
Limited authorized access may occur where reasonably necessary to:
- respond to a support request;
- investigate abuse or fraud;
- resolve a technical issue;
- protect security;
- comply with law;
- enforce Groxx agreements;
- establish or defend legal rights.
Limited access does not convert the relevant content into professional advice.
25. Uploaded Files
AI-powered features may allow users to upload:
- documents;
- images;
- spreadsheets;
- presentations;
- other files.
Processing may involve:
- extracting text;
- reading document content;

File-processing technology may:
- fail to read part of a file;
- omit text;
- misinterpret tables;
- misinterpret formatting;
- confuse document structure;
- provide an inaccurate summary;
- fail to detect manipulated or fraudulent material.
Users must review original source files and independently verify important information.
26. Confidential and Sensitive Information
Users should not submit information to AI-powered features unless they are authorized to provide it.
Do not submit:
- passwords;
- one-time authentication codes;
- private cryptographic keys;
- complete payment-card details;
- banking credentials;
- government identification numbers;
- medical records;
- biometric information;
- information about children;
- highly sensitive personal information;
- confidential third-party material that the user is not authorized to disclose;
- information whose disclosure would violate a legal, contractual, or professional duty.
Although Groxx uses safeguards designed to protect information, no online or AI system can be guaranteed to be completely secure.
27. Information About Other People
Users may submit personal information about employees, customers, contractors, suppliers, business partners, or other individuals only where lawful.
Before submitting such information, the user is responsible for ensuring that:
- a lawful basis exists;
- the user is authorized to provide the information;
- any required notice has been given;
- any required consent has been obtained;
- the information is reasonably necessary;
- the processing does not violate the individual’s rights.
Groxx does not request that users submit highly sensitive personal information about third parties.
28. Current and Time-Sensitive Information
Unless a feature expressly states that it uses a current external source, AI-generated content may not reflect:
- current laws;
- current regulations;
- current prices;
- current product information;
- live market conditions;
- recent news;
- real-time business data;
- changes occurring after the underlying model’s knowledge period;
- information not provided to the system.
Users should independently verify time-sensitive information before acting.
29. Generated Content May Not Be Unique
AI systems may produce similar or identical content for different users.
Groxx does not guarantee that generated content:
- is unique;
- is original;
- qualifies for copyright protection;
- is free from third-party rights;
- is suitable for trademark registration;
- has not appeared elsewhere;
- may be used commercially without review.
Users are responsible for reviewing generated content before publishing, registering, distributing, or commercially exploiting it.
30. Third-Party Intellectual Property
AI-generated content may unintentionally resemble:
- existing text;
- trademarks;
- slogans;
- business strategies;
- copyrighted works;
- other protected material.
Groxx does not provide legal clearance or guarantee non-infringement.
Before public or commercial use, users should consider whether:
- a trademark search is required;
- copyright review is appropriate;
- factual claims need verification;
- confidential information is included;
- permissions or licenses are necessary.
31. Safety Controls and Refusals
Groxx and its AI providers may use automated safeguards designed to detect and restrict harmful, unlawful, abusive, or prohibited requests.
An AI-powered feature may:
- refuse to respond;
- provide a limited response;
- interrupt processing;
- restrict a file or prompt;
- restrict access to a feature;
- flag activity for security review;
- suspend an account where permitted under the Terms of Service.
Safety controls may fail to identify some harmful content and may restrict content that is not harmful.
Users remain responsible for complying with applicable law and the Groxx Terms of Service.
32. AI Usage Limits
AI-powered functionality is subject to reasonable technical and usage limits.
Limits may depend on:

Where reasonably practicable, Groxx intends to provide an in-app notice when a user is approaching a material usage limit.
If a limit is reached:
- Play may become unavailable;
- card-level AI chat may become unavailable;
- AI Crew may become unavailable;
- file processing may be restricted;
- an existing conversation may become read-only;
- access may resume after an applicable allowance resets.
An active paid subscription does not provide unlimited computational usage.
33. Availability and Third-Party Dependencies
AI-powered functionality may be interrupted or unavailable because of:
- maintenance;
- network failure;
- cloud-provider outages;
- AI-provider outages;
- model unavailability;
