These Subscription Terms supplement the Groxx Terms of Service. By purchasing or renewing a Groxx subscription, you agree to:
- these Subscription Terms;
- the Groxx Terms of Service;
- the Groxx Privacy Policy;
- the Groxx AI Disclaimer;
- applicable Apple terms.
If these Subscription Terms conflict with the Terms of Service regarding subscription pricing, billing, renewal, cancellation, refunds, or paid access, these Subscription Terms control for that specific matter.

In these Subscription Terms, “Groxx,” “we,” “us,” and “our” mean Groxx App LLC.
“You” and “your” mean the person purchasing or using the subscription.
2. Available SubscriptionGroxx currently offers one paid subscription plan:
Groxx Annual SubscriptionThe subscription period is
one year.
Groxx does not currently offer:
- a monthly subscription;
- a weekly subscription;
- a paid Apple introductory trial;
- Family Sharing;
- a subscription intended for multiple unrelated users.
Groxx may introduce, modify, or discontinue subscription options for future purchases, subject to applicable law and Apple’s purchasing systems.
3. Subscription PriceThe intended United States price of the Groxx Annual Subscription is currently:
USD $360 per yearHowever, the legally applicable price is the price displayed by Apple immediately before you confirm the purchase.
The price shown by Apple may differ based on:
- your App Store country or region;
- local currency;
- applicable taxes;
- Apple’s regional pricing;
- currency or pricing adjustments;
- future permitted price changes;
- other factors administered through the App Store.
The amount displayed in Apple’s purchase-confirmation interface controls over a price displayed elsewhere by Groxx.
4. What the Subscription ProvidesAn active Groxx Annual Subscription provides access to the paid Groxx experience made available for the applicable subscription period.
Paid functionality may include:
- Boss Mode and maintenance of your business profile;
- your selected priority mode;
- Groxx Brain-powered decision support;
- This Week recommendations;
- Red Flag risk signals and related suggestions;
- Play functionality;
- AI chat within This Week and Red Flag cards;
- AI Crew;
- Resource Crew;
- Growth Crew;
- Strategy Crew;
- Ops Crew;
- Marketing Crew;
- conversation history;
- permitted file and content processing;
- reminders and notifications;
- other paid features identified in the application.
The precise presentation, arrangement, naming, workflow, and technical implementation of individual features may evolve over time.
5. Groxx Brain and Generative AIGroxx uses a combination of:
- Groxx Brain, Groxx’s proprietary internal decision-support system; and
- third-party generative AI services.
Groxx Brain may generate or prioritize the structured foundation for:
- This Week recommendations;
- potential risks displayed in Red Flag;
- suggested actions for addressing potential risks;
- the direction and emphasis of recommendations.
Generative AI may be used to:
- tailor structured recommendations to your business context;
- convert structured material into natural language;
- explain and expand recommendations;
- provide Play functionality;
- answer questions within cards;
- provide AI Crew conversations;
- process permitted prompts and uploaded content.
The relative role of Groxx Brain and generative AI may vary by feature.
A subscription provides authorized access to the applicable product functionality. It does not guarantee that every output will be generated exclusively by Groxx Brain, exclusively by a particular AI model, or through an unchanged technical process.
6. This WeekThis Week currently presents up to four personalized recommendations, suggested actions, priorities, or areas of focus for an applicable week.
A subscription does not guarantee:
- that exactly four recommendations will always be available;
- that every recommendation can be completed within seven days;
- that the recommendations form a complete business plan;
- that implementing a recommendation will produce a particular result;
- that every relevant business issue will be identified.
Recommendations may change based on:
- information you provide;
- your selected priority mode;
- changes to your business profile;
- your use of the Services;
- Groxx system logic;
- product updates;
- technical availability.
7. Red FlagRed Flag identifies potential business risks, warning signals, or areas that may require attention and may suggest possible ways to investigate, monitor, reduce, or address them.
A subscription does not guarantee that Red Flag will:
- identify every existing risk;
- predict whether harm will occur;
- provide a complete risk assessment;
- replace a legal, financial, cybersecurity, insurance, compliance, or professional review;
- eliminate a risk;
- prevent loss or business failure.
The absence of a displayed Red Flag does not mean that no risk exists.
8. Play and Card-Level AI ChatThis Week and Red Flag cards may include:
- a Play control; and
- an AI-powered chat field.
When you select Play, Groxx may use the underlying card content and relevant business context to generate more detailed guidance.
The card-level AI chat may allow you to ask follow-up questions relating to a specific recommendation or potential risk.
Play and card-level chat:
- are AI-powered features;
- may use third-party generative AI;
- are subject to AI usage limits;
- may produce inaccurate or incomplete content;
- may be temporarily unavailable;
- do not cause Groxx to implement or supervise a recommendation.
The fact that a response appears within a Groxx Brain-supported card does not mean that every response has been independently verified by Groxx Brain or reviewed by a human.
9. AI CrewAI Crew is an AI-powered conversational feature that may include:
- Resource Crew;
- Growth Crew;
- Strategy Crew;
- Ops Crew;
- Marketing Crew.
These names identify software assistants and their intended areas of focus.
AI Crew assistants are not human employees, consultants, agents, fiduciaries, or licensed professionals.
An active subscription does not guarantee that:
- every AI Crew response will be accurate;
- every request will receive a response;
- a particular model will always be used;
- an AI Crew assistant will remain unchanged;
- responses will constitute professional advice;
- use of AI Crew will produce a particular business result.
Use of AI Crew is also governed by the Groxx AI Disclaimer.
10. Priority ModesYour Groxx experience may include a priority mode selected during Boss Mode.
Current modes may include:
- More Cash Mode;
- Smooth Ops Mode;
- Need You Less Mode;
- Scale Up Mode;
- Profit Mode;
- Survival Mode.
A priority mode helps configure the emphasis of recommendations.
Purchasing a subscription while using a particular mode does not guarantee that Groxx will:
- increase cash flow;
- improve operations;
- reduce your involvement in the business;
- scale the business;
- increase profitability;
- prevent financial difficulty;
- prevent closure or business failure.
Mode names are product labels and not promises, financial forecasts, warranties, diagnoses, or guarantees.
11. Complimentary Access Before PurchaseGroxx may provide a new user with temporary complimentary access to some or all features before the user purchases a subscription.
Complimentary access:
- does not require payment;
- is not an Apple introductory free trial;
- does not begin a paid subscription;
- does not automatically convert into a paid subscription;
- does not result in an automatic charge;
- may be limited by time, feature availability, or AI usage;
- may become restricted unless the user affirmatively purchases a subscription.
Complimentary access may currently provide broader functionality for approximately one week.
AI Crew, Play, card-level AI chat, file processing, or other AI-powered functionality may become unavailable earlier if an applicable complimentary usage allowance is reached.
12. No Automatic Conversion From Complimentary AccessGroxx will not charge you merely because your complimentary access ends.
A paid subscription begins only after you:
- select the subscription offer;
- review the price and recurring-subscription information presented through Apple;
- affirmatively confirm the purchase using your Apple Account.
The end of complimentary access does not by itself authorize a charge.
13. Purchase Through AppleThe Groxx Annual Subscription is purchased through Apple’s In-App Purchase system.
When you purchase a subscription:
- Apple processes the transaction;
- payment is charged to the payment method associated with your Apple Account;
- Apple presents and confirms the applicable price;
- Apple administers the billing transaction;
- Apple may administer taxes and regional pricing;
- Groxx receives limited transaction and entitlement information;
- Groxx does not receive your full payment-card number or Apple Account password.
Your transaction is also subject to applicable Apple terms.
14. Purchase ConfirmationBefore confirming the purchase, review the Apple purchase interface carefully.
The interface may display:
- the subscription name;
- the billing period;
- the applicable price;
- the applicable currency;
- automatic-renewal information;
- the Apple Account used for the purchase.
By confirming the purchase, you authorize Apple to charge the amount displayed and to renew the subscription in accordance with the terms presented to you.
15. Automatic RenewalThe Groxx Annual Subscription is an
auto-renewable subscription.
Unless you cancel automatic renewal, the subscription renews at the end of the current one-year subscription period for another one-year period.
Apple will charge the applicable payment method associated with your Apple Account in accordance with Apple’s billing rules.
Your subscription-management screen should ordinarily display:
- your subscription status;
- your current plan;
- your renewal date;
- the applicable renewal price;
- available cancellation controls.
16. How to CancelYou may cancel automatic renewal through your Apple Account subscription settings.
Depending on your device and the current Apple interface, subscription management may generally be available through:
Settings → Apple Account → Subscriptions → GroxxYou may also use another subscription-management method provided by Apple.
Cancellation must be completed before Apple processes the next renewal charge.
Groxx does not control your Apple Account and ordinarily cannot cancel an Apple-managed subscription on your behalf.

17. Effect of CancellationCanceling automatic renewal prevents the subscription from renewing for another annual period.
Unless Apple or applicable law provides otherwise:
- cancellation does not ordinarily terminate paid access immediately;
- access generally continues until the end of the already-paid period;
- no additional annual renewal occurs after cancellation becomes effective;
- paid functionality may become restricted when the paid period expires.
Canceling does not ordinarily provide a prorated refund for the unused part of the current subscription period unless Apple grants a refund or applicable law requires a remedy.
18. Deleting the ApplicationDeleting the Groxx application from your device
does
not cancel an active subscription.
If automatic renewal remains active, Apple may continue to charge your payment method at the applicable renewal date.
You must cancel through your Apple Account subscription settings.
19. Deleting Your Groxx AccountDeleting your Groxx account and canceling your Apple subscription are separate actions.
Deleting your Groxx account may not automatically cancel an active Apple subscription.
Before deleting your Groxx account, cancel the subscription through your Apple Account if you do not want it to renew.
Groxx may display a reminder about this distinction during the deletion process, but you remain responsible for confirming the status of the subscription through Apple.
Account and personal-data deletion are governed by the Groxx Privacy Policy and Data Deletion page.
20. Access After ExpirationWhen the paid subscription expires:
- This Week interactivity may become limited;
- Red Flag interactivity may become limited;
- Play may become unavailable;
- card-level AI chat may become unavailable;
- AI Crew may become unavailable;
- file processing may become unavailable;
- some content may remain visible in a limited or read-only form;
- Groxx may display a subscription or upgrade screen.
The precise experience available without an active subscription may change as the product develops.
Expiration of a subscription does not automatically delete your account or personal information.
21. AI Usage LimitsPaid access to AI-powered functionality is subject to reasonable technical and usage limits.
Applicable usage may be measured using one or more internal technical units, including:
- tokens;
- requests;
- processing volume;
- processing time;
- conversation length;
- context size;
- model usage;
- file size;
- file-processing volume;
- another technical measure.
Usage limits may apply separately or collectively to:
- Play;
- card-level AI chat;
- AI Crew;
- uploaded-file processing;
- other AI-powered features.
22. Reasons for AI Usage LimitsAI usage limits may be used to maintain:
- service quality;
- fair access;
- technical availability;
- system stability;
- security;
- abuse prevention;
- sustainable processing costs;
- reasonable use by individual account holders.
An annual subscription does not provide unrestricted or unlimited computational usage.
Groxx will not describe an AI feature as unlimited where a material usage limit applies.
23. Notice of Approaching an AI Usage LimitWhere reasonably practicable, Groxx will provide an in-app notice when you are approaching a material AI usage limit.
The notice may:
- state that the allowance is nearly exhausted;
- identify affected functionality;
- provide general information about remaining access;
- explain whether or when access is expected to reset;
- describe another available option.
A warning does not guarantee that a specific number of additional requests can be completed.
The processing required for each request may differ based on:
- prompt length;
- conversation history;
- context size;
- file size;
- model selection;
- response complexity;
- other technical factors.
24. Reaching an AI Usage LimitIf an applicable limit is reached:
- Play may become temporarily unavailable;
- card-level AI chat may become temporarily unavailable;
- AI Crew may become temporarily unavailable;
- new AI conversations may be restricted;
- existing conversations may become read-only;
- uploaded-file processing may be restricted;
- access may resume when the relevant allowance resets;
- other non-AI functionality may remain available.
Reaching an AI usage limit does not:
- automatically cancel the subscription;
- automatically extend the subscription period;
- automatically create a refund entitlement;
- mean that the user has lost all paid access.
Any mandatory rights under applicable consumer law remain unaffected.
25. Changes to AI Usage LimitsGroxx may reasonably adjust AI usage limits in response to:
- changes in model or infrastructure costs;
- technical improvements;
- new features;
- user demand;
- capacity constraints;
- security issues;
- abuse patterns;
- service-provider restrictions;
- legal requirements.
Groxx will not impose a retroactive additional charge merely because an internal usage limit changes.
Where a change materially and adversely reduces the central paid functionality during an existing subscription period, Groxx will provide notice and remedies to the extent required by applicable law.
26. Fair UseThe subscription is intended for ordinary individual business use by the account holder.
It does not authorize:
- automated high-volume usage;
- resale of AI access;
- operation of an unauthorized public AI service;
- sharing one account among unrelated users;
- systematic extraction of Groxx recommendations;
- systematic reproduction of Groxx methodologies;
- circumvention of usage limits;
- creation of multiple accounts to evade restrictions;
- scraping or bulk-generation activity;
- use that materially degrades service availability for others.
Groxx may restrict activity that exceeds reasonable individual use or violates the Terms of Service.
27. Temporary AI and Service UnavailabilityAI-powered functionality may be temporarily restricted or unavailable because of:
- maintenance;
- model-provider outages;
- cloud or network failures;
- excessive demand;
- technical failures;
- security incidents;
- safety restrictions;
- provider limitations;
- changes to available models;
- legal or regulatory requirements;
- circumstances outside Groxx’s reasonable control.
An active subscription does not guarantee uninterrupted access to every model, provider, assistant, or individual feature.
Groxx will use reasonable efforts to maintain and restore the paid service, subject to applicable law.
28. Changes to Subscription FeaturesGroxx may develop or modify the paid experience over time.
We may:
- add features;
- improve existing features;
- change interfaces or workflows;
- change recommendation formats;
- change AI providers or models;
- change the organization of AI Crew;
- rename product features;
- replace obsolete functionality;
- discontinue functionality that is no longer technically, legally, or commercially viable;
- introduce reasonable technical and usage controls.
Groxx will not use this section to avoid mandatory obligations concerning digital-service conformity.
Where a change materially and negatively affects the essential paid service, Groxx will provide any notice or remedy required by applicable law.
29. No Guaranteed Business OutcomeThe subscription provides access to decision-support and AI-powered functionality.
It does not purchase or guarantee:
- increased revenue;
- increased cash flow;
- profitability;
- customer acquisition;
- successful scaling;
- reduced owner involvement;
- improved operations;
- risk elimination;
- business survival;
- successful implementation;
- any particular financial or commercial result.
Priority-mode names, recommendations, risk signals, feature names, and interface language do not constitute promises or warranties of performance.
30. Billing ProblemsIf Apple cannot successfully process a purchase or renewal:
- Apple may retry the payment;
- the subscription may enter a billing-retry period;
- a billing grace period may apply if enabled;
- paid access may temporarily continue or become restricted;
- the subscription may ultimately expire.
Apple controls the payment and billing-retry process.
You are responsible for maintaining a valid payment method associated with your Apple Account.
31. Restore PurchasesGroxx provides or intends to provide a
Restore Purchases function where required for Apple-managed subscriptions.
Restore Purchases may be used when:
- reinstalling Groxx;
- using a replacement device;
- signing back into an eligible Groxx account;
- restoring an entitlement associated with the relevant Apple Account.
Restoring a valid purchase does not create a second subscription or result in a second charge.
Restoration generally requires:
- the Apple Account associated with the original purchase;
- a valid or restorable Apple entitlement;
- an eligible Groxx account that can be associated with the entitlement.
32. Multiple AccountsA subscription entitlement may be associated with:
- an Apple Account;
- a Groxx account;
- an original App Store transaction;
- related entitlement records.
You may not intentionally use one individual subscription to provide paid access to multiple unrelated Groxx accounts.
If a subscription is accidentally associated with the wrong Groxx account, contact
[email protected].
Groxx cannot transfer an App Store transaction from one Apple Account to another Apple Account.
33. Family SharingGroxx does not currently offer Family Sharing for the Groxx Annual Subscription unless the Apple purchase interface expressly states otherwise.
The subscription is intended for the individual account holder.
34. Refund RequestsSubscription payments are processed by Apple.
Refund requests and refund eligibility are administered by Apple under:
- Apple’s applicable procedures;
- App Store rules;
- applicable consumer law.
Groxx generally cannot independently issue or reverse a refund for a transaction processed by Apple.
A technical-support request submitted to Groxx does not itself constitute a refund request to Apple.

35. Mandatory Refunds and Consumer RemediesNothing in these Subscription Terms limits any refund, price reduction, restoration of conformity, termination, withdrawal, or other remedy that cannot lawfully be excluded.
Depending on the applicable jurisdiction and circumstances, mandatory rights may arise where:
- the digital service materially fails to conform to the contract;
- Groxx fails to provide purchased functionality;
- the service is materially defective;
- a purchase was unauthorized;
- a legally required remedy applies.
Where Apple administers the transaction, the applicable financial remedy may need to be requested or processed through Apple.
36. European Consumer RightsIf you are a consumer in the European Economic Area or another jurisdiction providing mandatory digital-service rights, you may have rights concerning:
- pre-contract information;
- transparent recurring pricing;
- digital-service conformity;
- restoration of conformity;
- price reduction;
- termination;
- withdrawal;
- refunds;
- material modifications;
- unfair contract terms.
Nothing in these Subscription Terms removes rights that cannot lawfully be waived.
Any statutory withdrawal right and any exception to that right will apply in accordance with:
- applicable national law;
- the nature and commencement of the digital service;
- the confirmations made during the Apple purchase process;
- Apple’s role in administering the transaction.
37. TaxesThe price displayed by Apple may include applicable taxes or may be subject to tax treatment administered through the App Store.
Apple controls the purchase receipt and presentation of transaction-related taxes for the App Store purchase.
Groxx does not separately charge your payment method outside Apple for the subscription governed by these Subscription Terms.
38. Price ChangesGroxx may change the subscription price for future purchases or renewal periods.
A price change may result from:
- changes in service or infrastructure costs;
- additional functionality;
- inflation;
- currency changes;
- tax changes;
- App Store pricing changes;
- market conditions;
- other legitimate operational considerations.
Any renewal-price change will be administered through Apple’s subscription systems and subject to applicable law.
Depending on the circumstances, Apple may:
- notify you of the new price;
- display the new renewal amount;
- require affirmative consent;
- apply a permitted price change automatically;
- prevent renewal if required consent is not provided.
Groxx will not charge a changed subscription price outside Apple’s purchasing systems.
39. Suspension for MisuseGroxx may restrict or suspend paid access where we reasonably believe that:
- the entitlement is invalid, refunded, revoked, or fraudulent;
- the account is being shared contrary to these Terms;
- usage limits are being circumvented;
- automated or abusive usage is occurring;
- the user creates a security risk;
- the Terms of Service have been materially violated;
- suspension is required by law.
Suspension resulting from a material user violation does not automatically create a refund entitlement.
Where required by law, Groxx will provide appropriate notice or an opportunity to challenge the action.
40. Discontinuation of the Paid ServiceGroxx may stop offering the annual subscription to new users.
If Groxx discontinues the paid service entirely, existing subscriptions will be handled in accordance with:
- Apple’s subscription systems;
- applicable consumer law;
- any required notice, access, termination, or refund obligations.
Where reasonably practicable, existing subscribers will retain access through the current paid period or receive another remedy required by law.
41. Subscription Information Received From AppleTo administer paid access, Groxx may receive and retain limited information from Apple, including:
- product identifier;
- transaction identifier;
- original transaction identifier;
- purchase date;
- renewal date;
- expiration date;
- entitlement status;
- billing status;
- refund or revocation status;
- storefront or country information.
Groxx does not receive your full payment-card details or Apple Account password.
Subscription-related personal information is handled as described in the Groxx Privacy Policy.
42. Relationship to the AI DisclaimerAI-powered subscription functionality is also governed by the Groxx AI Disclaimer.
The AI Disclaimer explains matters including:
- the roles of Groxx Brain and generative AI;
- potential inaccuracies;
- limitations of This Week and Red Flag;
- limitations of Play and card-level chat;
- the nature of AI Crew;
- absence of professional advice;
- responsibility for user decisions.
Purchasing a subscription does not remove or override those limitations.
43. Relationship to the Terms of ServiceThe Groxx Terms of Service govern the general use of Groxx, including:
- account rules;
- acceptable use;
- intellectual-property rights;
- User Content;
- disclaimers;
- limitations of liability;
- account termination;
- dispute resolution.
These Subscription Terms control only where they provide more specific terms concerning:
- subscription pricing;
- billing;
- automatic renewal;
- cancellation;
- refunds;
- paid access;
- AI usage limits applicable to subscribers.
44. Governing LawThese Subscription Terms are governed by the laws of the
country of Georgia, without regard to conflict-of-laws principles.
“Georgia” means the sovereign country of Georgia and not the U.S. state of Georgia.
If you are acting as a consumer, this choice of law does not deprive you of mandatory protections available under the laws of your country of habitual residence.
45. DisputesQuestions relating to:
- paid-feature access;
- entitlement status;
- AI usage restrictions;
- technical problems;
- Restore Purchases;
- Groxx account access
may be sent to:
[email protected]Legal notices and unresolved legal disputes may be sent to:
[email protected]Questions relating to:
- Apple charges;
- payment methods;
- transaction processing;
- Apple Account billing;
- Apple refund decisions
should generally be directed to Apple.
Disputes with Groxx are subject to the dispute-resolution provisions in the Groxx Terms of Service and any mandatory consumer rights.
46. Changes to These Subscription TermsGroxx may update these Subscription Terms to reflect:
- changes to the subscription;
- changes to Groxx functionality;
- changes to AI usage limits;
- changes to Apple’s systems;
- changes to pricing;
- legal or regulatory requirements;
- operational or security needs.
The updated version will be posted at
groxx.app/subscription-terms, and the “Last Updated” date will be revised.
If a change materially affects an existing subscriber’s rights or obligations, Groxx will provide notice where required through one or more of:
- the application;
- email;
- the website;
- Apple’s subscription systems;
- another appropriate method.
Changes will not retroactively create a charge that you did not authorize.
47. Relationship to AppleThese Subscription Terms are between you and Groxx App LLC, not Apple.
Apple:
- processes the subscription transaction;
- manages the payment method;
- provides subscription-management controls;
- administers automatic renewal through the Apple Account;
- may administer refund requests;
- applies its own applicable purchasing terms.
Groxx, not Apple, is responsible for providing the Groxx service, subject to applicable law and the Groxx Terms of Service.
